Florida LLC Setup

What you send us

  • 1The company name you want — plus a second and third choice, in case the first one is taken
  • 2A Florida street address for the business. Not a PO box. A separate mailing address too, if you use one
  • 3Your full legal name and address as owner, and the same for any partner
  • 4Who runs the company — you alone, or named managers
  • 5An email address for correspondence from the state
  • 6Your registered agent: a person or company with a Florida street address, reachable during business hours. No agent yet? Say so and we will go through the options with you
Worth knowing Almost everything on this list becomes public record on Sunbiz — the company name, the addresses, the registered agent and the people authorised to manage. That is how Florida works, and it is worth deciding which address you put there.

What you send us

  • 1The exact legal name of the company as registered — or the name we are about to register for you
  • 2The business mailing address, and the county and state it sits in
  • 3The responsible party: the person who actually controls the company
  • 4That person’s SSN or ITIN. No SSN and no ITIN? Tell us — there is a separate route for foreign applicants and it is the one we use most
  • 5The date the business started, and one sentence on what it actually does
  • 6Whether you expect employees in the next 12 months
Worth knowing The responsible-party line is where most applications fall over. The IRS wants one real person who controls the company — not a company name, and not a nominee.

  • 4Owner details: your name and address, or the LLC name together with its Sunbiz document number

Worth knowing Florida law requires the name to be advertised once in a newspaper in your county before it can be registered. That is a separate charge paid straight to the newspaper — usually $35 to $100 or more depending on the county. It is not part of our fee and we take nothing from it.

Worth knowing If nothing changed since last year, this is the fastest thing we do. Send the document number and we will pull the rest from the state record.

What we will never ask you for

  • Your online banking password, or access to your bank account
  • Your ID or documents posted in a public comment, group or story
  • Anything that is not needed for the specific filing you asked for
  • A decision on the spot. Take the time you need

About the sensitive parts

A few filings genuinely need a sensitive number — an SSN, an ITIN or a passport number. Do not post those anywhere public. When we reach that point in your file, we will agree with you how to send it.
